Second Shooter Contract

Terms and Conditions:

This Contract is made and entered into as of the date of all signatures affixed below and by Lauren Newman Photography, an Independent Contractor whose name and address appears below, (further referred to as “Contractor”). The Contractor will provide, by way of Sub-contract, to Lauren Newman Photography the following services including, but not limited to, professional photography and delivering RAW files to Lauren Newman Photography, etc. These services will be provided by the Contractor to Lauren Newman Photography for the business of Wedding Photography and/or other selected events designated by Lauren Newman Photography. After confirmation of the Contractor's availability, Lauren Newman Photography has concluded both the Contractor and Lauren Newman Photography are available to perform and provide these services or projects presented before said contractor. This agreement guarantees the presence of the contractor at said event/project listed in this contract. It has also been determined that the contractor is available and qualified to perform such function. 

1. Position, Independent contractor: The Contractor and Lauren Newman Photography specifically agree that the Contractor is performing the services as an independent contractor providing photography services and is not an employee of Lauren Newman Photography. Nothing in this Agreement shall be construed as creating an employer- employee relationship. Contractor further agrees to be responsible for all of his/her own federal and state taxes, withholding, social security, insurance, and all other benefits.

2. Assignment: This assignment, as well as any future assignments, is and will be contracted on a case-by-case basis only. Lauren Newman Photography is under no obligation to guarantee Contractor any minimum number of contracts or any minimum number of hours. All work performed by Contractor for Lauren Newman Photography shall be governed by the covenants of this Agreement.

3. Compensation: Payment will be arranged on an individual basis for each contractor. Payment will be a base amount depending on experience and the assignment. Contractor shall be paid the previously agreed-upon amount UPON SUCCESSFUL TRANSFER OF ALL PHOTOS/CARDS TO PHOTOGRAPHER.

4. Delivery of images: Contractor agrees to transfer all photos he/she took at the listed event immediately upon completion of the event. If Contractor used his/her own memory cards, he/she shall make those cards available to Photographer for download immediately upon completion of the event. Photographer will supply memory cards to Contractor for use at the event if possible, and Contractor agrees to return all memory cards-- used and unused-- to Photographer immediately upon completion of the event. As already stated in section 3, Contractor shall be paid for his/her services only upon successful transfer of all photos and/or memory cards to Photographer.

5. Copyright & reproduction rights: The Contractor's assignment is work for hire, as such, the copyrights of the images produced by him/her belong to Lauren Newman Photography. Contractor agrees not to sell any image taken during the contracted event to any person, company, group, advertising agency, magazine, 3rd party or otherwise, without Photographer's express written permission. Lauren Newman Photography grants Contractor permission to use the images taken during the contracted event for Contractor's professional portfolio in the following manner: Print portfolio immediately, website (including but not limited to blog, Facebook, Instagram, Twitter, etc.) three (3) months from the date Lauren Newman Photography delivers the client their gallery. Web and social media use shall include an accompanying "Photographed for Lauren Newman Photography" credit line. Any use that exceeds this limited scope is strictly prohibited.

6. Exclusivity: Contractor understands that he/she represents Lauren Newman Photography and not any other business while completing assignments for Lauren Newman Photography. While directly working for Lauren Newman Photography, Contractor will not advertise his/her own business, will not solicit work for him/herself, and will only distribute the main Photographer's business cards, name, social media handle, website, marketing materials, etc. Contractor is not bound by an exclusivity agreement when not working directly for Lauren Newman Photography. Contractor may pursue other photographic work for him/herself or other studios, as long as it shall not directly compete with Lauren Newman Photography, infringe upon Lauren Newman Photography's client base, or solicit Lauren Newman Photography clients, either directly or indirectly.

7. Confidentiality: Contractor understands that all materials, price lists, contracts, financial documents, agreements, and other information or documents that are given to him/her in the scope of his/her assignments, are the exclusive property of Lauren Newman Photography, and are privileged, confidential information. Contractor agrees not to reveal this information to anyone, nor to use this information to the detriment of Lauren Newman Photography in any way.

8. Liability: Contractor warrants that he/she is liable for any loss or any other financial liability suffered by Lauren Newman Photography due to a failure to perform, other than a documented medical emergency or "Act of Nature." Lauren Newman Photography is not liable for any loss or damage to Contractor’s equipment under this contract.
9. Equipment: Contractor is responsible for providing all of his/her own equipment with which to complete the assignment. This includes providing his/her own media cards to photograph with in the event that Lauren Newman Photography does not provide them. It is required that weddings be photographed in RAW format. Additionally, the Contractor may not delete images from their media cards during the duration of the event until the cards have been downloaded and backed up by Lauren Newman Photography, to avoid potential corruption of the files. All original digital files will be copied and downloaded by Lauren Newman Photography upon completion of the contracted job. Once files are successfully downloaded and backed up by Lauren Newman Photography, the media cards used by the Contractor with the original images will be given back to Lauren Newman Photography. Any photos taken on the Contractor’s media cards (only if a second card slot is used) may be used by the Contractor at their discretion, according to Copyright and Reproduction Rights stated above (6).

10. Client Interaction: The Contractor should not attempt to contact the client in any way for any reason. Including tagging them, their bridal party, guests, or vendors on social media. Contractor agrees to introduce themselves only as "A Second Shooter for Lauren Newman Photography" and NOT in any way promote their own business or brand.

11. Wedding day Conduct: Contractor will dress in appropriate, muted/neautral/black colors and will appear neat and clean. If the wedding is a semi formal event Lauren Newman Photography will let contractor know and contractor will dress accordingly.

Contractor will arrive on time and not be late unless it is an act of God. The Contractor will call Lauren Newman Photography in the event of an emergency or delay.

Contractor agrees not to possess, consume, purchase or sell alcohol or an illegal drug during the event date. Furthermore, Contractor shall not be under the influence of alcohol, impairing drugs, or any illegal drugs while performing duties for this event. An “illegal drug” is a drug or controlled substance which is (1) not legally obtainable, or (2) legally obtainable, but not obtained or used in a lawful manner. 

12. Description of Services: The contractor agrees to perform the following services (herein “Services”): The Contractor shall provide photography Services as a subcontractor for the events (herein “Events”) of Lauren Newman Photography’s Clients. As requested by Lauren Newman and agreed to by the contractor, contractor will capture high-quality images in a professional manner in keeping with industry standards.

13: Contractor expectations: For each event, some Contractor expections are to:

  • Arrive no later than fifteen (10) minutes prior to the contacted start time stated by Lauren Newman Photography

  • Provide his/her/its own equipment and supplies, including media cards, batteries, a flash for reception, etc.

  • Help in keeping us on schedule for the day

  • Be confident in photographing certain parts of the day solo. Example: groomsmen getting ready

  • Be confident in shooting with a flash and in low light

  • Capture images for the scheduled duration of the event as specified by Lauren Newman Photography

  • Deliver the event images (RAW) to Lauren Newman Photography following the end of the event.

  • Capture high-quality images in a professional manner in keeping with industry standards.

Should the Contractor perform the photography services on the day of the event but fail to deliver the images to Lauren Newman Photography for any reason (including, but not limited to, the loss of digital files or other media or the failure of Contractor's equipment) or should the images be of a poor quality not within professional standards, such failure to deliver the images or perform the services in a professional manner shall constitute a material breach of the terms of this agreement, subjecting Contractor to monetary damages as a result of the breach, including but not limited to, full or partial waiver of Contractor's fee for that event, in addition to reimbursement to Lauren Newman Photography of any sums that Lauren Newman Photography must refund to the client(s) as a result of Contractor's acts or omissions and/or the costs incurred by Lauren Newman Photography to remedy the situation (such as additional editing/color correction or restoration of damaged or deleted files by a third party company).

14. Travel: The Contractor is responsible for all travel expense to and from the event; unless agreed upon, in advance of said event. All exceptions must be made in a timely manner. The contractor also states he/she is in possession of a valid driver’s license to travel henceforth between said locations required on date of event. 

15: Governing Law; Jurisdiction: The validity, construction, and enforceability of this Agreement shall be governed in all respects by the laws of the State of Florida. If any dispute arises in connection with or relating to this Agreement, then the Parties agree that the proper jurisdiction shall be the courts located in Escambia County, Florida, and the Parties waive any defense of personal jurisdiction or lack of venue.  

The agreement constitutes the entire agreements between the parties. Any modification of this agreement must be in writing and signed by both parties. If any provision of this agreement is declared invalid, then the remainder of the agreement will remain in force and effect.

Completion and submission of the following form denotes acceptance of all the terms listed above, and formal acceptance of this assignment as an Independent Contractor. By writing my name in the section below, I am digitally signing this form and agreeing to all the terms.
